Please read these Terms of Service carefully before using the SYDI application or website. By accessing or using SYDI, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and TracThat LLC d/b/a SYDI ("SYDI," "we," "us," or "our"), a Florida limited liability company. By downloading, installing, accessing, or using the SYDI mobile application or website (collectively, the "Service"), you agree to these Terms in full. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age to create an account and use SYDI independently. Users between the ages of 13 and 17 may only use SYDI with explicit parental or guardian consent and under parental supervision. By using SYDI, you represent and warrant that you meet these eligibility requirements.

We comply with all applicable 2026 federal and state laws regarding age verification, including requirements established by Apple App Store and Google Play Store platforms.

3. Description of Service

SYDI is a voice-first personal AI assistant application that allows users to manage tasks, communications, schedules, reminders, and personal information through an AI assistant named Skyler. SYDI is designed for personal use and, on certain plans, for solopreneur business use.

SYDI is not a substitute for professional medical, legal, financial, psychological, or emergency services advice. In the event of an emergency, call 911 or your local emergency services immediately.

4. SMS Messaging Terms

By providing your phone number and agreeing to these Terms, you consent to receive SMS text messages from SYDI, including:

Account notifications and onboarding messages
Reminders and alerts you have set through the Service
Service updates and feature announcements
Promotional messages related to SYDI (with your consent)

Message frequency varies. Message and data rates may apply. To opt out of SMS messages at any time, reply STOP to any message. To get help, reply HELP. For support, contact us at info@tracthat.com or call +1 (689) 334-1500.

We do not sell, share, or transfer your phone number to third parties for their marketing purposes. Carriers are not liable for delayed or undelivered messages.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. SYDI stores your password securely using device-level encryption (iOS Keychain / Android Keystore) and never stores plain-text passwords on our servers.

6. Subscription and Billing

SYDI offers a 30-day free trial with no credit card required at signup. After the trial period, continued use of paid features requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

Payments are processed through Apple Pay, Google Pay, or other approved payment processors. SYDI never stores your credit card or payment card numbers. Biometric confirmation is required for all transactions.

7. Acceptable Use

You agree not to use SYDI to:

Violate any applicable law or regulation
Harass, abuse, or harm another person
Send spam or unsolicited communications through the Service
Attempt to gain unauthorized access to any part of the Service
Use the Service for any illegal or unauthorized purpose
Impersonate any person or entity

8. Privacy

Your use of SYDI is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy at sydi.ai/privacy-policy.

9. Intellectual Property

All content, features, and functionality of SYDI — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of TracThat LLC d/b/a SYDI and are protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SYDI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRACTHAT LLC D/B/A SYDI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Mental Health and Crisis Policy

SYDI's AI assistant Skyler is designed to be a positive, supportive presence. Skyler is not a licensed mental health professional and is not a substitute for professional psychological or psychiatric care. If you or someone you know is experiencing a mental health crisis, please contact the 988 Suicide and Crisis Lifeline by calling or texting 988, or call 911.

SYDI has implemented safeguards to detect crisis situations and redirect users to appropriate professional resources.

13. Child Safety

SYDI is committed to the safety of minors. We comply with the Children's Online Privacy Protection Act (COPPA) and all applicable 2026 state laws regarding minors' online safety. Users under 18 require parental consent. Parents may contact us at info@tracthat.com to manage or remove their child's account.

14. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms. You may cancel your account at any time through the Settings menu in the SYDI app.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via the app or email. Your continued use of SYDI after changes take effect constitutes your acceptance of the revised Terms.
